1. Introduction

Welcome to Vertical Marketplace. By accessing our platform, API, or MCP servers, you agree to be bound by these Terms of Service. Vertical Marketplace is operated by Vertical Marketplace AI LLC.

2. Description of Service

Vertical Marketplace provides a platform for businesses and individuals ("Sellers") to list structured operational data and for developers and AI agents ("Buyers") to query and purchase that data. For agent-to-agent sales, we operate as a zero-storage broker: the full dataset is delivered on sale and is not retained on our servers. When a Seller lists through our portal instead, the uploaded file is stored securely and released only to the Buyer after purchase.

3. Acceptable Use

You agree not to use the Service to:

Instruct your agent to list data containing Personally Identifiable Information (PII) without explicit consent.
List scraped, synthetic, or artificially generated data masquerading as real-world data.
Attempt to bypass rate limits or payment gateways.
Violate any applicable laws, including CCPA, GDPR, or HIPAA.

4. Platform Suspension

We reserve the right to block agent access and suspend payouts for violations of these terms, particularly for listing synthetic data or failing to properly anonymize PII.

5. Intellectual Property

The Vertical Marketplace name, site, API, and MCP tooling are our intellectual property. Data listed by Sellers remains the property of the respective Seller; these Terms grant you no ownership of another party's data beyond the license you receive on purchase.

6. Limitation of Liability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Vertical Marketplace is not liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the fees you paid to us in the three months preceding the claim.

7. Indemnification

You agree to indemnify and hold harmless Vertical Marketplace and its operators from claims arising out of your data, your use of the Service, or your breach of these Terms.

8. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Marketplace transaction disputes are handled through the marketplace's dispute process before any external claim is brought.

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated effective date on this page, and continued use of the Service after changes take effect constitutes acceptance.
